The document pack
A fund raise runs on three core documents, and Legal Canvas drafts all of them:
- Limited Partnership Agreement (LPA) — the contract between you and your LPs. It encodes the economics you set in Fund Builder: fees, carry, hurdle, waterfall, and governance.
- Private Placement Memorandum (PPM) — the disclosure document. It describes the offering, the strategy, and — critically — the risks.
- Subscription documents — what an investor actually signs to commit capital, including eligibility representations.
Structure flows in automatically
Because drafting starts from your live structure, the terms in your documents match the terms in your builder and your deck by construction. Change your carry and the affected passages are flagged and updated — no hunting through a hundred-page PDF for every place "20%" appears.
Revising with counsel
Documents rarely survive contact with negotiation unchanged. When counsel or an anchor LP sends back changes, work them on the canvas: revisions are diffed against the prior state, so both you and your lawyer can see precisely what moved and what it affects.
The PPM's risk factors and disclosures are where generic templates hurt you most. Use the to pressure-test them against your actual strategy, then have counsel do the same.
